Terms and Conditions

These Terms and Conditions (the “Agreement”) shall govern Your use of our www.free2win.net (the “Website”) an RNG based social gaming tool (the “Platform”), owned by Cp Solution Ltd (“We”), a private company incorporated in accordance with the laws of the Isle of Man, having its registered address at 687 Edythe Roads, Glenfaba, Patrick, IM99 IRZ, Isle of Man, which operates online gaming tournaments (a “Tournament” or “Tournaments”) accessed by yourself (“You”).

By creating the account and participating in the Tournaments, You hereby agree to be bound by this Agreement and any other supplementary conditions and rules which may be issued by Free2win from time to time.

We have the right, at our sole discretion, and at any time, to change and or amend this Agreement, with any amendments becoming effective immediately upon the time that they are posted on the Website. You should revisit this Agreement periodically to apprise Yourself of the latest terms and conditions governing the use of the Website and the Platform. Furthermore, We reserve the right to change or modify the content of the Website at any time without prior notification and will not be liable to any party in any way for possible consequences of such changes. We may suspend, discontinue or restrict access to any portion of the Website and/or the Platform_ at any time and without notice.

This Agreement shall be read in conjunction with any Tournament-specific terms and conditions which may be applicable from time to time.

1. Access to Website and Account Creation

1.1 The Tournaments are available for access by users aged 18 years or over. By signing up, you hereby declare and warrant that you are over 18 years of age or such higher minimum legal age of majority as stipulated in the jurisdiction of your residence and are, under the laws applicable to you, legally allowed to participate in the Tournaments. The Company reserves the right to carry out verification checks to confirm the accuracy of all account registration details you provide. When these checks are unable to verify your age, the Company reserves the right to ask for additional proof. If we remain unable to confirm any detail provided by you, we reserve the right to suspend your account or withhold payment of any Prize until we receive satisfactory proof, as determined in our sole discretion.

1.2 Employees of Free2win, their close relatives and anyone otherwise connected with the organisation or judging of the Tournament may not enter into this Agreement.

1.4 No entry fee shall be imposed on You for the participation in the Tournament and You shall not be required to make a purchase in order to participate in a Tournament.

2. Account Creation

2.1 You must create a user account with free2win in order to participate in any Tournament (“Account”). You can create an Account by accessing the following link: www.free2win.net.

2.2. When creating an Account and in order to be eligible to participate in a Tournament, You are required to provide personal data, including: Your name, email address and payment account information.. Any personal data collected by Free2win shall be processed in accordance with the relevant data protection laws set forth in Clause 5 of this Agreement.

2.3 You shall design a virtual avatar where such virtual avatar shall represent Your Account during a Tournament (“Avatar”). All Avatars shall be subject to the approval of Free2win in its sole discretion prior to You making use of the Avatar (whether in a Tournament or posting on an Account) and You accept that Free2win in its sole discretion reserves the right to suspend, restrict or reject at any time any Avatar used on an Account or for a Tournament.

2.4 You are entitled to open only one Account in Your name. You hereby acknowledge and agree that You may be disqualified from participation in any Tournament at any time should You have more than one Account in Your name.

3. Prizes

3.1 Any user determined by Free2win to be a “Winner” of a Tournament (“Winner”) may be entitled to receive a prize as a Winner where prizes may be pecuniary or non-pecuniary (“Prize”), as determined by Free2win in its sole discretion from time to time. You acknowledge and agree that You will be responsible for any tax obligations arising out of You receiving a Prize and agree to fully indemnify Free2win against any tax obligation resulting from a Prize being awarded to You.

3.2 You hereby agree and accept that Free2win reserves the right to grant or withhold any Prizes in its reasonable discretion; and that any violations of this Agreement or Applicable Law (defined in Clause 3.7 of this Agreement) or failure to comply with any reasonable requests for further information from Free2win may result in the cancelation of awarding a Prize to Winners by Free2win.

3.3 You acknowledge and agree that all Prizes and their Winners shall be listed on the www.free2win.net/results. Prizes are non-transferable. Prizes are subject to availability and We reserve the right to substitute any Prize with another Prize of equivalent value without notice.

3.4 The Winner will be notified by email using the email address linked with the Account within forty-eight (48) hours following the finalization of the results of the Tournament. If the Winner cannot be contacted or does not claim the Prize within seven (7) working days following notification by email, We reserve the right to withdraw the Prize and select an alternative Winner in our sole discretion.

3.5 We will notify the Winner of the means by which we would transfer the Prize from Free2win to the Winner.

3.6 Decisions in respect of all matters relating to any Tournaments and the Platform shall be in the sole discretion of Free2win.

3.7 As a condition to receiving a Prize, You agree that Free2win reserves the right to make further reasonable information and documentation requests (as determined by Free2win in its sole discretion) necessary for compliance with any and all Applicable Laws, rules or regulations to which Free2win (or any entity belonging to the same group of companies as Free2win) must adhere to (“Applicable Law”). No Prizes shall be awarded to You unless You adhere to any and all reasonable requests for further information and documentation by Free2win. In particular, any Winner shall provide any and all information and documentation required for Free2win to be able to comply with its obligations under Applicable Law, including but not limited to tax compliance requirements. You hereby acknowledge and agree that it may take up to fourteen (14) working days to receive a Prize following receipt by Free2win of further information and documentation.

3.8 Any failure to comply with Free2win’ request for further information and documentation as per this Agreement may result in the suspension or termination of Your Account.

4. Tournament

4.1 The Platform is in no way sponsored, endorsed or administered by, or associated with Facebook, Twitter or any other social network upon which the Platform and Tournament(s) are advertised.

4.2 Free2win reserves the right to suspend, cancel or reschedule any Tournament at any time and without notice. Any suspension, cancelation or rescheduling of a Tournament will be notified to entrants as soon as possible by Free2win.

4.3 Free2win reserves the right to suspend and/or cancel Your participation in a Tournament at any time. Free2win’ decision on Your participation and eligibility to participate in the Tournament is final and may not be contested by You or any other participant in a Tournament.

4.4 Free2win reserves the right to offer a specific Tournament to a specific group of customers.

5. Data Protection

5.1 By Your use of the Platform or Website You hereby consent to Free2win’ (and any of its authorized processors) processing of your personal data pursuant to the provisions of any and all Applicable Laws and in accordance with Free2win’ Privacy Policy.

5.2 By creating an Account and participating in a Tournament, the Winner acknowledges and agrees to Free2win publishing their name and Avatar in any publicity material. Any personal data of the Winner or any End Users will be used solely in accordance with any and all Applicable Laws.

5.3 Notwithstanding any provisions in the Privacy Policy, You hereby recognize that You retain the right to withdraw Your consent to the processing by Free2win of Your personal data by requesting the closure of Your Account and any closure of Your Account shall result in Free2win’ termination of processing Your personal data.

6. Termination

6.1 You hereby acknowledge and agree that Free2win reserves the right to close Your Account if Free2win at any time in its sole discretion, in particular in case any activity on Your Account contradicts Applicable Law or is used for illicit purposes, including, but not limited to money laundering.

6.2 Upon closure of Your Account, Free2win, You will no longer have access to Your Account or any Tournaments offered on the Platform. Your participation in any Tournaments that may still be pending at the time of the closure of Your Account will be voided and You will not be entitled to receiving any Prizes.

7. Intellectual property

7.1 For the purposes of this Agreement, “Intellectual Property” means any invention, designs, formulas, know-how, processes, business methods, patents, trademarks, service marks, copyrights, code, ideas, writings, illustrations, photographs relating to Free2win’s

 brand, and any and all material describing or illustrating such property, whether in hard copy or digital form.

7.2 All Intellectual Property will at all times remain the property of Free2win. Any and all intellectual property rights that arise as a result of this Agreement or Your use of the Platform shall belong to Free2win.

8. Complaints

You may address any complaints through the following email address: info@crowdplay.com. Free2win will use its best efforts to resolve any complaint promptly and without delay.

9. Limitations of liability

9.1 You hereby agree to hold Free2win harmless for any of the following types of loss or damage even in each case if the Party has been advised of the possibility of such loss or damage:

9.1.1 indirect or consequential loss; or

9.1.2 loss of profits, revenue, contracts or anticipated savings.

9.2 Free2win shall not be liable for any breach of these Terms directly or indirectly caused by circumstances beyond the reasonable control of Free2win where Free2win is prevented from performing its obligations under this agreement and where such failure to perform does not relate to its fault or negligence (“Force Majeure Event“). If the Force Majeure Event prevents Free2win from materially complying with its obligations under this agreement and it continues for more than ten (10) days, you may terminate the Agreement with immediate effect by giving written notice.

9.3 Free2win shall not be held liable for any risks related to the technology used on the Platform or in relation to the Account, including, but not limited to, the failure of hardware, software, and Internet connections, risk of malicious software introduction and any other risks that relate to third parties which may gain unauthorised access to the Website or the Platform. Free2win shall not be responsible for any loss of such information resulting from any technological failure powering the Website or the Platform.
